Managing your annual return
Updating your details on the Companies Register each year by 28 February 2022 You will be hearing from us in the near future as we get this underway
An annual return is not a tax return or financial statement — it's a yearly update of publicly available information about your company on the Companies Register. To remain on the register, you must confirm or update particular information when you file your annual return.
Filing an annual return The information you include in your annual return must be authorised by a company director, or by a solicitor, chartered accountant or by a person authorised to act on behalf of your company.
Why you need to file an annual return Every company on the register, including overseas companies, must prepare and file an annual return. If you don't file an annual return by the due date, the Registrar of Companies can remove your company from the register.
When your annual return is due When your company becomes incorporated, we tell you which month your annual return will be due each year.
If it's your first year after incorporation Your company doesn't need to file an annual return in the first calendar year following incorporation with the Companies Office. For example, if your company becomes incorporated in 2020, your first annual return won't be due until 2021. If your company isn't trading Regardless of whether or not your company is trading, you must file an annual return each calendar year after incorporation.
If your company has stopped trading, you may want to consider applying for removal of your company from the register. Seek professional advice before taking this step.
If your company is registered overseas All companies on the register, including overseas companies, must file an annual return.

Below is the latest business specific information about the use of My Vaccine Pass and the soon to be released, NZ Pass Verifier smartphone app.
Use of My Vaccine Pass for businesses
My Vaccine Pass is not yet legally required for entry to premises and staff will not be required to check the My Vaccine Pass of people entering these premises until the COVID-19 Protection Framework is live.
In the meantime, businesses should continue to operate under the appropriate alert level guidance for their region and talk to their employees about vaccination and what the general rules for their business will be.
My Vaccine Pass will look the same for both vaccinated individuals and those who are medically exempt. This is to ensure that those who are medically unable to be vaccinated will not be discriminated against and the privacy of their personal information is protected.
Further guidance will be coming to businesses once final decisions on the Framework are made and this will be available on business.govt.nz
Use of Verifier App for businesses The Ministry of Health is building a free verifier app called NZ Pass Verifier which will be available on the App Store and Google Play, for companies to use to scan and verify a My Vaccine Pass.
NZ Pass Verifier will be available to download before we move into the COVID-19 Protection Framework.
When My Vaccine Pass will be required
Requiring a My Vaccine Pass will be optional for many locations. There will be some higher-risk settings where they will be a requirement in order to open to the public.
At all levels, businesses, retail, and public facilities will generally be able to remain open for vaccinated people.
Businesses, events, organisations, community, and a range of sectors may legally choose to implement a vaccination entry requirement for customers.
If a business, organisation or service does not wish to request proof of vaccine, they will have to operate with strict limits on capacity and space requirements. They may need to close in Orange and/or Red levels.
How you use the verifier app will depend on your sector or the choices you have made about how you will operate under the new framework.
Customers wanting to enter a business that is requiring the My Vaccine Pass are obligated to provide their My Vaccine Pass to be scanned, when asked.
Once final decisions are made, more detailed guidance will be available about verifying passes.
Integration of the verifier app for businesses If you want to integrate the QR code scanner into your existing smartphone apps or ticketing operations, or are interested in how to offer this service, information on the specifications and other documentation is available on the Ministry of Health’s Github repository.
